Hi Harley Copilot is a productivity and organisation tool. It does not constitute professional tax, legal, or financial advice. Always consult a qualified accountant or tax adviser for decisions about your tax affairs.

1. Acceptance of Terms

By accessing or using the Hi Harley Copilot platform ("Service"), you agree to be bound by these Terms of Service ("Terms") and our Privacy Policy. If you do not agree to these Terms, you must not use the Service.

These Terms constitute a legally binding agreement between you and Hi Harley Ltd, a company incorporated in England and Wales. By using the Service, you confirm that you are at least 18 years old and have the legal capacity to enter into this agreement.

2. Description of Service

Hi Harley Copilot is a UK-focused tax administration assistant that helps self-employed individuals and small business owners:

  • Track HMRC filing deadlines and obligations based on their business profile.
  • Store and analyse business documents using AI-powered extraction.
  • Maintain an income and expense ledger with tax estimates.
  • Ask questions about their tax position through the Ask Harley AI assistant.
  • Receive reminders for upcoming filing deadlines.

The Service is provided for organisational and informational purposes only. It does not constitute professional tax, legal, accounting, or financial advice.

3. Account Registration

To use the Service, you must create an account. You agree to:

  • Provide accurate, current, and complete information during registration.
  • Maintain the security of your account credentials.
  • Notify us immediately of any unauthorised use of your account.
  • Accept responsibility for all activities that occur under your account.

We reserve the right to suspend or terminate accounts that provide false information or violate these Terms.

4. Acceptable Use

You agree to use the Service only for lawful purposes. You must not:

  • Use the Service to commit fraud or engage in any unlawful activity.
  • Upload content that is illegal, defamatory, or infringes third-party rights.
  • Attempt to gain unauthorised access to our systems or other users' data.
  • Reverse-engineer, decompile, or disassemble any part of the Service.
  • Use automated tools to scrape, crawl, or extract data from the Service.
  • Resell or sublicense access to the Service without our written consent.
  • Interfere with the proper working of the Service or its infrastructure.

5. AI Features and Limitations

The Service includes AI-powered features including document analysis and the Ask Harley assistant. You acknowledge and agree that:

  • AI-generated responses and document extractions may contain errors, omissions, or inaccuracies. You should always verify important information independently.
  • The Ask Harley assistant provides general information only and does not constitute professional tax or financial advice. It is not a substitute for advice from a qualified accountant or tax adviser.
  • Tax estimates generated by the Service are approximations based on the data you provide. Actual tax liabilities may differ.
  • Filing deadlines shown are calculated from your business profile. You remain responsible for verifying deadlines with HMRC directly.

6. Subscription and Payment

The Service is offered on a freemium basis. Free tier features are available without payment. Paid subscription tiers ("Professional" and "Business") provide access to additional features.

  • Subscription fees are charged monthly or annually in advance.
  • All prices are inclusive of VAT where applicable.
  • Subscriptions renew automatically unless cancelled before the renewal date.
  • You may cancel your subscription at any time. Cancellation takes effect at the end of the current billing period. We do not provide pro-rata refunds for partial periods.
  • We reserve the right to change subscription prices with 30 days' notice. Price changes will not affect your current billing period.

7. Your Content

You retain ownership of all data, documents, and content you upload or enter into the Service ("Your Content"). By using the Service, you grant us a limited, non-exclusive licence to process Your Content solely to provide the Service to you.

You are responsible for ensuring that Your Content does not infringe any third-party rights and that you have the right to upload it. We do not use Your Content to train AI models without your explicit consent.

8. Intellectual Property

The Service, including its software, design, text, graphics, and AI models, is owned by Hi Harley Ltd and protected by UK and international intellectual property laws. Nothing in these Terms grants you any rights in the Service other than the limited right to use it in accordance with these Terms.

9. Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, express or implied. To the fullest extent permitted by law, we disclaim all warranties including:

  • Fitness for a particular purpose (including tax compliance).
  • Accuracy or completeness of tax calculations, deadlines, or AI responses.
  • Uninterrupted or error-free operation of the Service.

Nothing in these Terms excludes or limits our liability for death or personal injury caused by our negligence, fraud, or any other liability that cannot be excluded by English law.

10. Limitation of Liability

To the fullest extent permitted by law, Hi Harley Ltd's total liability to you for any claim arising out of or in connection with these Terms or the Service shall not exceed the greater of (a) the total fees paid by you in the 12 months preceding the claim, or (b) £100.

We shall not be liable for any indirect, incidental, special, or consequential losses, including loss of profits, loss of data, tax penalties, or HMRC fines arising from your use of or reliance on the Service.

11. Indemnification

You agree to indemnify and hold harmless Hi Harley Ltd, its officers, employees, and agents from any claims, damages, or expenses (including reasonable legal fees) arising from your use of the Service, your violation of these Terms, or your infringement of any third-party rights.

12. Termination

Either party may terminate these Terms at any time. You may close your account through the account settings. We may suspend or terminate your access if you breach these Terms, with or without notice depending on the severity of the breach.

Upon termination, your right to use the Service ceases immediately. We will handle your data in accordance with our Privacy Policy.

13. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes by email or prominent notice on the platform at least 14 days before they take effect. Your continued use of the Service after the effective date constitutes acceptance of the updated Terms.

14. Governing Law and Disputes

These Terms are governed by the laws of England and Wales. Any disputes arising from these Terms or the Service shall be subject to the exclusive jurisdiction of the courts of England and Wales.
